Introduction and Acceptance

Welcome to PodMine ("we," "us," "our," or "PodMine"). These Terms of Use ("Terms") constitute a legally binding agreement between PodMine and each user (whether registered or unregistered) of our podcast transcription and summary service available at www.podmine.ai (the "Service").

By accessing, using, or creating an account on PodMine, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to use PodMine.

Changes to Terms

We may update or modify these Terms from time to time. We will notify you of significant changes by email or through a notice on our Service. The updated Terms will become effective on the date specified in the notice.

By continuing to use PodMine after the effective date of any changes, you accept the revised Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

Account Registration and Security

Account Creation

To access certain features of PodMine, you must create an account by providing a valid email address and creating a password. You may also register using third-party authentication services (e.g., Google Sign-In, GitHub).

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Keep your password secure and confidential
  • Not share your account credentials with others

Account Responsibility

You are solely responsible for all activity that occurs under your account. We may assume that any activity under your account was authorized by you. If you suspect unauthorized use of your account, you must notify us immediately at joshua@podmine.ai.

Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent, illegal, or abusive behavior
  • You fail to pay applicable subscription fees
  • We determine that your use poses a security or legal risk

Subscription Plans and Fees

PodMine offers three tiers of access to the Service:

Free Tier

The Free Tier provides basic access to PodMine's features at no cost. This is limited to basic summary features.

Premium Tier

The Premium Tier offers enhanced features and functionality on a monthly or annual subscription basis. This features a summary, key takeaways, compelling stories, thought-provoking quotes and key speakers.

Professional Tier

The Professional Tier is designed for power users and includes all features described in the premium tier with additional features. These additional features include access to critical analysis, similar strategies, additional context, books and articles mentioned, products, tools and software mentioned.

Payment Authorization

By subscribing to a paid tier, you authorize PodMine (or the applicable third-party payment processor) to automatically charge your designated payment method on a monthly or annual basis, depending on your selected subscription period. Charges will include the applicable subscription fee plus any taxes and fees.

Payment processor used: Stripe.

Free Trials

We may offer a free trial period for paid subscriptions as described on our website or in the Service. Your free trial will automatically convert to a paid subscription unless you cancel at least 24 hours before the trial period ends. You will not be charged during the free trial period.

Automatic Renewal

Your paid subscription will automatically renew at the end of each subscription period (monthly or annual) unless you cancel at least 24 hours before the current period ends. The renewal will be for the same duration as your original subscription period.

In accordance with UK consumer protection laws, you have the right to:

  • Receive clear information about subscription terms before purchase
  • Receive a reminder before your subscription renews (for annual subscriptions)
  • Cancel your subscription during a 14-day cooling-off period after renewal
  • Cancel online if you subscribed online

Cancellation

You may cancel your paid subscription at any time by:

  • Visiting your account settings and selecting 'Cancel Subscription'
  • OR: Contacting us at joshua@podmine.ai
  • If you subscribed through a third-party platform (Apple App Store, Google Play Store), follow that platform's cancellation process

Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. No refunds will be provided for partial subscription periods, except as required by law or during the 14-day cooling-off period following subscription renewal.

Price Changes

We reserve the right to change subscription fees at any time. We will provide you with at least 30 days' notice of any price increase. The new price will apply to your next billing cycle after the notice period. If you do not agree to the price increase, you may cancel your subscription before the new price takes effect.

Use of the Service

License Grant

Subject to your compliance with these Terms, PodMine grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

Acceptable Use

You agree to use PodMine only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Use the Service to infringe upon the intellectual property rights of others, including copyright laws
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without our prior written permission
  • Upload or transmit viruses, malware, or other malicious code
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, abuse, threaten, or harm other users
  • Use the Service to send spam, unsolicited messages, or promotional materials
  • Resell, redistribute, or sublicense access to the Service without our written permission
  • Remove, obscure, or alter any proprietary notices on the Service

Violation of these restrictions may result in immediate termination of your account and legal action.

User-Generated Content

Your Notes and Content

PodMine allows you to create and save notes, annotations, and other content ("User Content") in connection with podcast transcriptions and summaries.

Ownership of User Content

You retain all ownership rights to your User Content. We do not claim ownership of any text, data, or other materials you create and save on PodMine.

License to PodMine

By creating and saving User Content on PodMine, you grant us a limited, non-exclusive, royalty-free, worldwide license to store, process, and display your User Content solely for the purpose of:

  • Providing the Service to you
  • Maintaining and improving the Service
  • Complying with legal obligations

This license terminates when you delete your User Content or close your account, except where we are required to retain data for legal or regulatory purposes.

Privacy of Your Notes

Your notes and annotations are private by default and are not shared with other users unless you explicitly choose to share them. Please refer to our Privacy Policy for more information about how we handle your data.

Intellectual Property Rights

PodMine's Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks (excluding User Content and third-party content), is owned by PodMine and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written permission.

Podcast Content and Copyright

PodMine provides transcriptions and summaries of podcasts that are publicly available. Podcast content, including audio recordings and associated metadata, is owned by the respective podcast creators and distributors. PodMine does not claim ownership of podcast content.

You may use PodMine's transcriptions and summaries for personal, non-commercial purposes only. Any commercial use or redistribution of transcriptions or summaries may require permission from the original podcast creator.

Fair Dealing and Legal Compliance

Our service operates based on our good faith belief that AI-generated summaries constitute fair dealing under the Copyright, Designs and Patents Act 1988 (UK). Under UK law, fair dealing permits certain uses of copyrighted material without permission for purposes including criticism, review, reporting of current events, quotation, caricature, parody, and pastiche.

We believe PodMine's summaries fall within the fair dealing exception for criticism and review, as they:

  • Provide commentary and analysis of podcast content
  • Acknowledge and attribute the original podcast creators
  • Serve a transformative purpose distinct from the original works
  • Do not substitute for or diminish the value of the original podcast content

Content Removal Policy

We respect content creators' rights. Podcast creators or rights holders may request removal of their content from our platform at any time by contacting joshua@podmine.ai. We will promptly review and respond to such requests.

Copyright Infringement Notification

If you believe that content on PodMine infringes your copyright or intellectual property rights, you may submit a copyright infringement notice to our designated agent. To be effective, your notice must include:

  1. Identification of the copyrighted work that you claim has been infringed
  2. Identification of the infringing material on PodMine and information to locate it
  3. Your contact information (name, address, phone, email)
  4. A statement that you have a good faith belief that the use is not authorized
  5. A statement under penalty of perjury that the information is accurate
  6. Your physical or electronic signature

AI-Generated Content

PodMine uses artificial intelligence and machine learning technologies (Deepgram and Claude Sonnet 4.5 from Anthropic) to generate transcriptions and summaries of podcast episodes. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or omissions.

You acknowledge and agree that:

  • AI-generated transcriptions and summaries are provided "as is" and may not be 100% accurate
  • You should verify any critical information before relying on it
  • PodMine is not liable for any errors, inaccuracies, or consequences arising from your use of AI-generated content

Disclaimers and Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

PodMine disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, secure, or free from viruses or harmful components
  • Warranties regarding the accuracy, reliability, or completeness of any content on the Service

You use the Service at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW:

PodMine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

Liability Cap

For any direct damages, PodMine's total liability to you shall not exceed the amount you paid to PodMine in the 12 months preceding the event giving rise to the claim.

Exceptions

Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be limited or excluded by UK law

Consumer Rights

If you are a consumer in the UK, you have certain statutory rights under the Consumer Rights Act 2015. Nothing in these Terms affects those statutory rights.

Term and Termination

Termination by You

You may terminate your account and stop using the Service at any time by:

  • Visiting your account settings and selecting 'Delete Account'
  • OR: Contacting us at joshua@podmine.ai

Upon termination by you, your access to the Service will cease, and your account data will be deleted in accordance with our Privacy Policy and data retention practices.

Termination by PodMine

We may suspend or terminate your access to the Service if:

  • You fail to pay subscription fees in a timely manner
  • You violate these Terms
  • Your use poses a legal, security, or reputational risk to PodMine

We will provide reasonable notice before termination unless immediate termination is necessary to protect PodMine or other users.

Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We will delete or anonymize your account data and User Content as described in our Privacy Policy
  • You remain liable for any outstanding fees or obligations incurred before termination

Dispute Resolution and Governing Law

Governing Law

These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of England and Wales. You consent to the personal jurisdiction of such courts.

Informal Resolution

Before initiating formal legal proceedings, you agree to contact us at joshua@podmine.ai to attempt to resolve any disputes informally. We will make reasonable efforts to resolve disputes amicably.
